As of January 1, 2006, DrivAd will cease to exist as a limited liability company (LLC) and will pursue
business as DrivAd, Inc., a California S Corporation.
The decision to incorporate was reached by the Board of Directors as a strategic move to better position
the company from a legal, financial and administrative standpoint. All assets and liabilities of DrivAd LLC
will be transitioned to the new company with no interruptions or impacts to DrivAd drivers, advertisers or Certified Installers.
"There is no change to our plans and company vision. This is a normal and expected transition for our company,
" said Olivier Baudoux, DrivAd LLC president and elected chairman of the board.
"Our success and growth over the last 2 years have been remarkable and having this new structure will give us
new tools and incentives to bring and retain talents and to position our company for strategic alliance with investors
and upcoming partners."
